SCOPE OF AGREEMENT

This website is operated by URF INC. Throughout this website, the terms “we,” “us,” and “our” refer to URF INC. URF INC. provides this website, including all information, tools, products, and services made available through it (collectively, the “Offerings”), subject to your acceptance of these Terms and Conditions (the “Terms”).

These Terms apply to your access to and use of this website, as well as to the purchase of products and services from URF INC., whether through this website or otherwise, unless otherwise agreed by URF INC. in writing. By accessing or using any part of this website, or by purchasing products or services from URF INC., you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the website or purchase products or services from URF INC.

You represent and warrant that you have the legal capacity to enter into a binding agreement and, if you are acting on behalf of a company or other legal entity, that you have the authority to bind that entity to these Terms.

Any terms or conditions contained in a purchase order, acknowledgment, or other document submitted by a buyer that are inconsistent with, different from, or additional to these Terms are rejected and shall not apply unless expressly agreed to in writing by an authorized representative of URF INC.

Any new features, tools, products, or services added to this website will also be subject to these Terms. URF INC. reserves the right to update, change, or replace any part of these Terms by posting updates to this website. It is your responsibility to review this page periodically for changes. Your continued use of the website or continued purchase of products or services from URF INC. following the posting of any changes constitutes acceptance of those changes.

Our online store is hosted by Shopify Inc., which provides the e-commerce platform that enables us to offer and sell certain products and services through this website.

 

 

GENERAL CONDITIONS

URF INC. reserves the right to refuse service to any individual or entity at any time, for any lawful reason, in its sole discretion.

By accessing or using this website or purchasing products or services from URF INC., you agree to comply with these Terms and all applicable laws, rules, and regulations.

You understand that content you submit through the website, other than payment information, may be transmitted over various networks and may be adapted to conform to the technical requirements of connecting networks or devices. Payment information is encrypted during transmission.

You agree not to reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the website, its content, or any service offered through the website without URF INC.’s prior written consent.

Unauthorized use of the website or its content may result in the suspension or termination of your access to the website or related services.

Headings used in these Terms are for convenience only and do not affect the meaning or interpretation of any provision.

Any new features, tools, products, or services introduced on this website will also be subject to these Terms unless otherwise expressly stated.

MODIFICATIONS TO THE SERVICE AND PRICES

URF INC. reserves the right, at any time and without prior notice, to modify, suspend, discontinue, or remove any product, service, feature, tool, content, or pricing offered through the website.

Prices for all products and services are subject to change without notice. URF INC. shall not be liable to you or any third-party for any modification, price change, suspension, discontinuation, or removal of any product, service, feature, tool, or content.

Any such changes will not affect orders that have already been accepted by URF INC., except as otherwise expressly provided in these Terms.

 

 

ORDER ACCEPTANCE AND SERVICE TERMS

Services Overview
URF INC. may provide certain services in connection with the sale of products, including, without limitation, order processing, customization, and technical support (collectively, the “Services”). Any such Services are provided subject to these Terms.

Order Acceptance
All orders, whether placed through the website or otherwise, are subject to review and acceptance by URF INC. Submission of an order does not create a binding agreement unless and until URF INC. accepts the order.

URF INC. reserves the right, in its sole discretion, to reject or cancel any order, including due to pricing or availability errors, suspected fraud or misuse, or failure to satisfy applicable requirements.

For stocked products, order acceptance may occur when URF INC. issues an order confirmation, ships the product, or otherwise begins performance. For custom, special-order, or non-stocked products, order acceptance may occur when URF INC. begins design work, procurement, manufacturing, customization, or other order-specific performance.

Service Scope and Limitations
URF INC. reserves the right to modify, suspend, or discontinue any Service at any time. To the maximum extent permitted by law, URF INC. does not guarantee that any Service will be continuously available, uninterrupted, or error-free.

Except as expressly provided in these Terms, any errors, delays, or interruptions relating to the Services do not give rise to liability beyond the remedies, if any, expressly stated in these Terms.

Order Cancellation
Orders that have been processed, shipped, customized, or otherwise materially performed are non-cancelable and non-refundable unless otherwise expressly agreed in writing by URF INC. Custom orders, special procurements, and non-stocked items are non-cancelable and non-refundable unless otherwise stated in writing.

If URF INC. permits cancellation after work has begun, URF INC. may charge reasonable cancellation fees, including costs for materials, labor, administrative handling, and other expenses incurred in connection with the order.

Any refund, credit, or other accommodation relating to a canceled order is granted solely at URF INC.’s discretion unless otherwise required by law or expressly agreed in writing.

 

 

PRICING

Prices for products and services are determined at the time of purchase or as stated in a formal quote or agreement. Quotes remain valid for a limited time unless otherwise specified. Prices listed on the website reflect the most current information and override outdated catalogs or external references.

For non-catalog products and custom services, prices are based on current costs and may be adjusted to reflect changes in costs at the time of delivery.

All prices are exclusive of additional charges such as taxes, duties, shipping fees, and other costs unless expressly stated otherwise. Pricing on promotional items or special offers is valid only during the specified promotional period and subject to the terms outlined in the promotion.

 

 

PAYMENT TERMS

All payments must be made in U.S. Dollars unless otherwise agreed in writing by URF INC. If URF INC. permits payment in another currency, conversion will be based on URF INC.’s applicable exchange rate at the time of purchase or invoicing. Accepted payment methods include major credit cards, purchase cards, wire transfers, and any other payment methods made available by URF INC. through the website or otherwise.

Buyers must provide current, complete, and accurate billing and account information when placing an order. Failure to do so may result in processing delays, order cancellation, or additional administrative charges. Buyers are responsible for promptly updating any billing or payment information necessary to complete a transaction.

If any payment is overdue, URF INC. reserves the right to suspend shipments, withhold future deliveries, cancel pending orders, charge interest on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by applicable law, if lower), recover reasonable collection costs, including legal fees, and revise the buyer’s payment terms or credit status.

Any billing discrepancy or payment dispute must be reported to URF INC. in writing within seven (7) days after the invoice date or transaction date, as applicable. Failure to provide notice within that period may limit URF INC.’s ability to investigate the issue and may constitute acceptance of the charge, except where otherwise required by applicable law.

 

 

TAXES AND DUTIES

Except as otherwise expressly stated by URF INC. in writing, the buyer is responsible for all taxes, duties, and governmental charges associated with the purchase, sale, shipment, delivery, or use of products or services supplied by URF INC., excluding taxes based on URF INC.’s net income. These may include, without limitation, sales tax, use tax, excise tax, value-added tax (VAT), goods and services tax (GST), harmonized sales tax (HST), import duties, brokerage fees, customs charges, and similar governmental assessments.

Sales Tax

Applicable sales, use, GST, HST, or similar transaction taxes will be charged where required by law. If the buyer claims an exemption from tax, the buyer must provide a valid exemption certificate or other documentation acceptable to URF INC. and the relevant taxing authority. If any exemption is later denied or found invalid, the buyer is responsible for all resulting taxes, interest, and penalties.

U.S. Orders

For orders shipped by URF INC. from Canada into the United States, URF INC. will pay applicable import duties unless otherwise stated in writing. The buyer remains responsible for any applicable U.S. sales or use taxes, or other charges not expressly assumed by URF INC.

International Orders

For orders shipped to destinations outside the country of origin, and except as otherwise expressly stated in writing by URF INC., the buyer is responsible for all import duties, customs charges, brokerage fees, consular fees, document fees, local taxes, and other charges imposed by the destination country or applicable authorities.

URF INC. may, but is not obligated to, estimate, prepay, collect, or itemize certain taxes, duties, or fees at checkout or on an invoice. Any such estimate is for convenience only and does not limit the buyer’s responsibility for charges not collected at the time of sale, except to the extent URF INC. has expressly agreed in writing to assume them.

Invoicing

Where practicable, applicable taxes, duties, and related charges will be separately stated on the invoice. The buyer remains responsible for any amounts not collected by URF INC. at the time of sale, except for charges URF INC. has expressly agreed in writing to pay.

URF INC. is not liable for delays caused by customs clearance, tax authority review, documentation requirements, or the buyer’s failure to provide information needed for import, export, tax, or customs processing.

 

 

SHIPPING COSTS

Shipping, handling, and applicable insurance charges are the buyer’s responsibility unless otherwise expressly stated in a written quote, order confirmation, invoice, or promotional offer issued by URF INC.

Such charges may be prepaid and added to the invoice or billed separately, depending on the agreed terms of sale. Shipping charges are based on factors including product weight, dimensions, destination, carrier rates, insurance, and the selected shipping method.

Buyers are responsible for reviewing applicable shipping charges at checkout or in any quote or order confirmation before placing an order. Expedited shipping, special handling, buyer-requested routing, or other non-standard shipping arrangements may result in additional charges, which will be billed to the buyer.

 

 

DELIVERY TERMS

Delivery and Risk of Loss

Unless otherwise expressly agreed in writing, all shipments are made FCA Shipping Point (Incoterms® 2020). Delivery to the carrier constitutes delivery to the buyer, and title and risk of loss pass to the buyer upon delivery to the carrier, even if URF INC. arranges shipping. Any request for different delivery or shipping terms must be approved by URF INC. in writing.

Estimated Delivery Dates

URF INC. will use commercially reasonable efforts to process and ship orders promptly and to meet estimated delivery dates where possible. However, all delivery dates are estimates only and are not guaranteed. URF INC. is not liable for delays caused by carriers, customs clearance, supply shortages, weather, labor disruptions, or other events beyond its reasonable control.

Carrier and Delivery Method

Unless otherwise agreed, URF INC. may select the carrier and shipping method in its discretion. If the buyer requests a specific carrier, routing method, or shipping arrangement, and URF INC. agrees, any resulting additional costs will be charged to the buyer.

Partial Shipments

URF INC. reserves the right to make partial shipments. If partial shipments are requested by the buyer or are required due to buyer-specific instructions, additional shipping charges may apply. If URF INC. elects to ship an order in multiple instalments for its own operational reasons, the buyer will not be charged additional shipping fees beyond those originally agreed, unless otherwise stated. Delay in one shipment does not entitle the buyer to cancel the remainder of the order.

Business Hours for Delivery

Deliveries are intended to occur during normal business hours, Monday through Friday, excluding applicable holidays, unless otherwise agreed. If the buyer requests special delivery timing or is unavailable to receive delivery as arranged, the buyer is responsible for any resulting redelivery, storage, or related charges.

Delivery Disruptions

If shipment or delivery is delayed, refused, or prevented due to circumstances beyond URF INC.’s reasonable control, including incorrect shipping information, buyer delay, refusal of delivery, force majeure events, or carrier-related issues, URF INC. may take reasonable steps to store, reschedule, redirect, or otherwise manage the shipment. Any resulting costs, including storage, redelivery, or rerouting charges, may be billed to the buyer.

International Shipping

For shipments outside the country of origin, the buyer is responsible for complying with all applicable import requirements and for paying any customs duties, taxes, brokerage fees, tariffs, and similar charges imposed by the destination country, unless URF INC. expressly agrees otherwise in writing.

For orders shipped by URF INC. from Canada into the United States, URF INC. will pay applicable import duties unless otherwise stated in writing. The buyer remains responsible for any applicable state or local sales or use taxes and any other charges not expressly assumed by URF INC.

Export Compliance

The buyer is responsible for complying with all applicable export, re-export, import, sanctions, embargo, and trade compliance laws and regulations in connection with the purchase, transfer, shipment, use, resale, or other disposition of URF INC.’s products.

The buyer shall not export, re-export, transfer, sell, or use any product supplied by URF INC. in violation of any applicable law, including laws relating to prohibited destinations, prohibited end users, or prohibited end uses. Upon request, the buyer shall provide information reasonably necessary for URF INC. to assess trade compliance requirements.

URF INC. may refuse, delay, cancel, or suspend any order or shipment if URF INC. reasonably believes that the transaction may violate applicable trade compliance laws or regulations.

Storage Fees

If the buyer fails to provide required shipping instructions or fails to take delivery within five (5) business days after notice that the order is ready for shipment or pickup, URF INC. may charge reasonable storage and handling fees until the order is shipped, delivered, or collected.

 

 

LIMITED WARRANTY TERMS

Warranty Period and Coverage

URF INC. warrants that products manufactured and/or branded by URF INC. will conform in all material respects to the specifications set forth in the applicable product documentation and will be free from defects in materials and workmanship under normal use for a period of twelve (12) months from the date of delivery to the original purchaser.

This limited warranty does not apply to third-party products that are not manufactured or branded by URF INC.

Cable assemblies, including flexible and high-frequency test cables, are excluded from this limited warranty unless otherwise expressly stated in writing by URF INC. For cable assemblies, claims for nonconformity or shipping-related issues must be identified upon delivery or reported to URF INC. in writing within seven (7) days of delivery.

Exclusions from Warranty

This limited warranty does not cover defects, failures, or damage resulting from:

  • improper use, handling, storage, installation, operation, or maintenance not in accordance with URF INC.’s instructions;
  • unauthorized modification, repair, or alteration of the product;
  • use of the product with incompatible equipment, systems, applications, or environmental conditions;
  • normal wear and tear, performance degradation over time, or damage caused by accident, misuse, abuse, neglect, or improper handling;
  • shipping or transit damage not reported within the seven (7) days; or
  • removal, alteration, or defacement of serial numbers or other product identification marks.

Warranty Remedies

If URF INC. determines that a product is defective and covered by this limited warranty, URF INC., at its sole discretion, will:

  • repair the defective product;
  • replace the defective product with the same, equivalent, or substantially similar product; or
  • refund the purchase price paid for the defective product.

These remedies are URF INC.’s sole obligation and the buyer’s exclusive remedy under this limited warranty.

Warranty for Repaired or Replacement Products

Any product repaired or replaced under this limited warranty will be warranted against defects in materials and workmanship under normal use for the longer of:

  • twelve (12) months from the date of delivery of the repaired or replacement product; or
  • the remainder of the original warranty period.

Conditions for Warranty Coverage

Warranty coverage is subject to the following conditions:

  • the buyer has paid in full for the product;
  • the buyer notifies URF INC. in writing of the claimed defect within the applicable warranty period and provides a reasonable description of the issue;
  • the product has been stored, installed, operated, and maintained in accordance with URF INC.’s instructions;
  • the buyer provides such records and information as are reasonably necessary for URF INC. to evaluate the claim;
  • the buyer gives URF INC. a reasonable opportunity to inspect the product and relevant supporting information; and
  • the product has not been subjected to unauthorized modification, repair, or alteration.

URF INC. is not responsible for de-installation, re-installation, field service, or on-site labor costs associated with any warranty claim. If URF INC. approves a warranty claim, URF INC. will reimburse reasonable return shipping costs and pay the shipping costs for delivery of the repaired or replacement product.

Disclaimer and Limitation

To the maximum extent permitted by applicable law, this limited warranty is exclusive and in lieu of all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, URF INC. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of use, downtime, or loss of business opportunity, arising out of or relating to any product or any breach of this limited warranty.

 

 

CLAIMS AND SHIPPING DAMAGE

Claims and Non-Conforming Products

All claims require prior written authorization and a Return Merchandise Authorization (“RMA”) number issued by URF INC. Products returned without prior authorization or a valid RMA number may be refused and returned to the buyer at the buyer’s expense.

To request a warranty evaluation or report a non-conforming product, please contact URF INC. at support@urfinc.com with your order number and a brief description of the issue. If authorized, URF INC. will provide an RMA number and return instructions.

Claims for defective or non-conforming products, including incorrect items shipped, missing accessories, or nonconformity discoverable upon reasonable inspection, must be submitted in writing within seven (7) days of delivery. Claims submitted after that period may be denied, except to the extent covered by an applicable written warranty.

If URF INC. determines that the issue resulted from URF INC.’s error, including an incorrect shipment or failure to meet documented specifications, URF INC. will evaluate the claim and may provide an appropriate remedy in accordance with these Terms, including repair, replacement, refund, or other appropriate corrective action.

Shipping Damage

Unless otherwise expressly agreed in writing, shipments are made FCA Shipping Point (Incoterms® 2020). Title and risk of loss pass to the buyer upon delivery of the goods to the carrier, even if URF INC. arranges shipping.

The buyer is responsible for inspecting shipments promptly upon receipt. Any visible shipping damage, shortage, or delivery discrepancy must be reported promptly, and in any event within seven (7) days of delivery, to both the carrier and URF INC. The buyer should retain all original packaging and supporting documentation in the event a carrier claim is required.

URF INC. is not liable for damage occurring in transit after risk of loss has passed to the buyer, except to the extent otherwise expressly agreed in writing.

URF INC. recommends insured shipping for high-value orders.

Return Shipping Costs

URF INC. is not responsible for de-installation, re-installation, field service, or on-site labor costs associated with any claim, return, or warranty request.

If a valid warranty or authorized claim is approved by URF INC., URF INC. will reimburse reasonable return shipping costs and pay the shipping costs for delivery of the repaired or replacement product.

For non-warranty or customer-initiated returns, including returns for ordering error or change of mind, the buyer is responsible for all shipping and reshipment costs.

 

 

RETURNS

Return Authorization

All returns must be pre-approved by URF INC. and require a valid RMA number. Products returned without prior authorization may be refused and returned to the buyer at the buyer’s expense.

Claims involving defective products are subject to the Limited Warranty and any applicable inspection and notice requirements set out in these Terms. To request a return or warranty evaluation, contact support@urfinc.com with your order number and a brief description of the issue. If approved, URF INC. will provide an RMA number and return instructions.

Eligibility and Conditions

Returns may be accepted only under the following conditions:

  • claims for defective or non-conforming products must be reported within seven (7) days of delivery, unless a different written warranty period expressly applies;
  • customer-initiated returns, including returns for ordering error or change of mind, must be requested within thirty (30) days of receipt;
  • custom, special-order, and non-stocked items are non-cancelable and non-returnable unless otherwise expressly agreed in writing by URF INC.;
  • items must be unused, in original packaging, and returned with all accessories and documentation; and
  • the return must otherwise comply with these Terms and any return instructions issued by URF INC.

URF INC. is not liable for damage occurring during transit after risk of loss has passed to the buyer. Shipping damage must be addressed in accordance with the Shipping Damage section above and, where applicable, with the carrier.

URF INC. reserves the right to reject returns showing signs of misuse, improper handling, unauthorized alteration, or damage inconsistent with the reported issue. Products returned in damaged, incomplete, altered, or non-compliant condition may be refused and returned at the buyer’s expense.

Return Evaluation and Remedies

URF INC. will evaluate authorized returns within a reasonable time after receipt and determine the appropriate remedy, if any. Remedies may include:

  • repair of the product;
  • replacement with the same, equivalent, or substantially similar product;
  • refund of the purchase price, credited to the original payment method or issued as store credit, at URF INC.’s discretion unless otherwise required by law; or
  • return of the product to the buyer if the product is found to be non-defective, non-returnable, or outside the scope of coverage.

All returned items are subject to inspection. URF INC. reserves the right to determine, in its reasonable discretion, whether a product qualifies for return, warranty coverage, or other remedy under these Terms.

Limitations

Refunds, if approved, are limited to the purchase price actually paid for the returned product and may exclude original shipping charges unless the return results from URF INC.’s error. Used, damaged, incomplete, altered, custom, special-order, and non-stocked items are not returnable unless otherwise expressly agreed in writing by URF INC.

Return Shipping Costs

URF INC. is not responsible for any costs related to de-installation, re-installation, or on-site labor associated with returns or warranty claims.

For valid warranty claims, URF INC. will reimburse the reasonable cost of return shipping and will cover the cost of shipping the repaired or replacement product to the buyer.

For customer-initiated returns, the buyer is responsible for all shipping costs, including any reshipment costs for replacement products.

 

 

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, URF INC.’s total liability arising out of or relating to any claim, loss, or damage connected to the sale of products or services shall not exceed the amount actually paid by the buyer for the specific product or service giving rise to the claim.

To the maximum extent permitted by applicable law, URF INC. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation:

  • loss of profits or revenue;
  • loss of use, downtime, recall costs, or business interruption;
  • data loss or security-related losses; or
  • any other commercial or economic loss.

Any services, website functionality, and online features are provided on an “as is” and “as available” basis, without any guarantee that they will be uninterrupted, error-free, or continuously available.

 

 

DISCLAIMER OF OTHER WARRANTIES

Except for the express limited warranty expressly set forth in these Terms, URF INC. makes no other warranties, whether oral, written, express, implied, or statutory.

To the maximum extent permitted by applicable law, all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are disclaimed.

Product Suitability and Buyer Responsibility

The buyer is solely responsible for determining whether any product is suitable, compatible, and fit for the buyer’s intended application, system, environment, and use, unless URF INC. has expressly agreed otherwise in writing.

Any technical information, recommendations, or assistance provided by URF INC. is offered for general informational purposes only and does not relieve the buyer of its responsibility to independently verify product selection, performance, installation, and use in the buyer’s specific application.

 

 

CONFIDENTIALITY

Any non-public technical, commercial, pricing, or product information disclosed by URF INC. to a buyer and identified as confidential, or that reasonably should be understood to be confidential under the circumstances, must be kept confidential by the buyer and must not be disclosed to any third-party without URF INC.’s prior written consent, except as required by applicable law.

The buyer agrees to use such confidential information solely for the purpose of evaluating, purchasing, using, or supporting URF INC.’s products or services, and to take reasonable measures to protect it from unauthorized use, access, or disclosure.

This confidentiality obligation does not apply to information that:

  • is or becomes publicly available through no breach of these Terms;
  • is lawfully received from a third-party without restriction;
  • is independently developed without use of URF INC.’s confidential information; or
  • is required to be disclosed by law, regulation, or court order, provided that, where legally permitted, the buyer gives URF INC. prompt notice of such required disclosure.

Any personal information submitted through the website is governed by URF INC.’s Privacy Policy.

 

 

UNSOLICITED FEEDBACK AND SUBMISSIONS

If you submit any unsolicited ideas, suggestions, proposals, feedback, comments, or other materials to URF INC., whether online, by email, or otherwise, you agree that URF INC. may use, reproduce, modify, publish, distribute, and otherwise exploit such submissions without restriction and without any obligation to compensate you or maintain such submissions in confidence.

You represent and warrant that your submissions do not violate any third-party rights, including intellectual property, privacy, publicity, or other proprietary rights, and do not contain any unlawful, defamatory, abusive, or otherwise objectionable material.

URF INC. reserves the right, but not the obligation, to remove, reject, or refuse to use any submission that it determines, in its sole discretion, violates these Terms or is otherwise inappropriate.

 

 

THIRD-PARTY TOOLS AND LINKS

URF INC. may provide access to third-party tools, services, or resources through the website on an “as is” and “as available” basis. URF INC. does not own, control, or endorse any such third-party tools, services, or resources and makes no representations, warranties, or conditions regarding their availability, accuracy, or suitability. Your use of any third-party tools, services, or resources is entirely at your own risk, and you should review the applicable terms, conditions, and policies of the relevant third-party before using them.

This website may also contain links to third-party websites or services provided solely for convenience. URF INC. is not responsible for the content, accuracy, availability, or policies of any third-party website or service and shall not be liable for any loss or damage arising from or related to your use of any third-party website, service, or resource.
